End-User License Agreement
This End-User License Agreement (“Agreement”) is a binding agreement between you (“Customer,” “you,” or “your”) and WylderWomen Inc (“Licensor,” “we,” “us,” or “our”), doing business as AltheaOS, governing your access to and use of the AltheaOS software, related documentation, websites, and online services (collectively, the “Software”).
Effective date · September 30, 2026
1. Acceptance of terms
By accessing or using the Software, creating an account, executing an order form, or clicking to accept this Agreement, you agree to be bound by these terms. If you use the Software on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization. If you do not agree, do not use the Software.
If you and Licensor have executed a separate master subscription agreement, order form, or similar written contract covering the Software (a “Customer Agreement”), that Customer Agreement controls to the extent of any conflict with this Agreement.
2. License grant
Subject to this Agreement and any applicable Customer Agreement (including timely payment of fees), Licensor grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license during the subscription term to access and use the Software solely for your internal business purposes in accordance with the documentation and any usage limits in your order.
The Software is licensed, not sold. Except for the limited license above, Licensor and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights.
3. Accounts and authorized users
You are responsible for (a) maintaining the confidentiality of account credentials; (b) ensuring that only authorized users access the Software under your account; (c) all activity under your accounts; and (d) configuring permissions appropriately for your organization. You must promptly notify us of any unauthorized access or security incident involving your account at support@altheaos.org.
4. Customer data
“Customer Data” means data, content, and materials you or your users submit to or process through the Software. As between the parties, you retain ownership of Customer Data. You grant Licensor a limited license to host, process, transmit, display, and otherwise use Customer Data solely to provide and support the Software, prevent or address security or technical issues, and as required by law.
You represent that you have all rights and consents necessary to provide Customer Data to the Software and to permit processing as described in this Agreement and our Privacy Policy. You are responsible for the accuracy, quality, and legality of Customer Data and for your decisions made using outputs from the Software.
5. AI-assisted features
The Software may include artificial intelligence features that extract, classify, summarize, draft, or suggest content based on Customer Data. AI outputs may be incorrect, incomplete, or inappropriate for your circumstances. AI features assist authorized humans; they do not replace professional judgment, legal advice, accounting advice, or audit opinions. You remain solely responsible for reviewing outputs and for any actions you take based on them.
6. License restrictions
Except as expressly permitted by this Agreement or applicable law that cannot be waived, you will not, and will not permit others to:
- Copy, modify, translate, or create derivative works of the Software.
- Reverse engineer, decompile, disassemble, or attempt to derive source code or non-public APIs, except to the limited extent such restriction is prohibited by law.
- Rent, lease, sell, sublicense, distribute, or provide the Software to third parties as a service bureau or managed service, except as expressly allowed in a Customer Agreement.
- Remove or alter proprietary notices, labels, or marks.
- Circumvent technical protections, usage limits, or access controls.
- Use the Software to build a competing product or to benchmark for publication without prior written consent.
- Use the Software for unlawful, harmful, fraudulent, or abusive purposes, or to violate others’ rights.
- Upload malware or attempt to disrupt the integrity or performance of the Software.
- Use the Software in any manner that violates export control or sanctions laws.
7. Acceptable use
You will use the Software in compliance with all applicable laws and regulations, including privacy, consumer protection, employment, financial-records, and nonprofit governance laws that apply to your organization. You will not use the Software to store or transmit content that is illegal, defamatory, or infringing, or that you are not authorized to process.
8. Third-party services and integrations
The Software may interoperate with third-party products (for example accounting platforms). Your use of third-party services is governed by those providers’ terms. Licensor is not responsible for third-party services and does not warrant their availability or accuracy. Enabling an integration constitutes instruction to exchange data with that third party as configured by you.
9. Fees and taxes
If you purchase a paid subscription, you agree to pay the fees set forth in the applicable order or Customer Agreement. Fees are non-refundable except as expressly stated in a Customer Agreement or required by law. You are responsible for applicable taxes, excluding taxes based on Licensor’s net income.
10. Confidentiality
Each party may receive non-public information from the other that is marked confidential or that a reasonable person would understand to be confidential (“Confidential Information”). The receiving party will use Confidential Information only to perform under this Agreement and will protect it with reasonable care. Confidential Information does not include information that is or becomes public through no fault of the receiving party, was rightfully known without restriction, is independently developed, or is rightfully received from a third party without restriction. Disclosure may be made if required by law, with prior notice where legally permitted.
11. Feedback
If you provide suggestions or feedback about the Software, Licensor may use that feedback without restriction or obligation to you.
12. Disclaimers
EXCEPT AS EXPRESSLY SET FORTH IN A CUSTOMER AGREEMENT, THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT DATA OR OUTPUTS (INCLUDING AI OUTPUTS) WILL BE ACCURATE OR COMPLETE.
The Software is a decision-support tool for organizational finance workflows. It is not a substitute for professional legal, tax, accounting, or audit services.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO LICENSOR FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY (OR ONE HUNDRED U.S. DOLLARS (US $100) IF YOU HAVE NOT PAID ANY FEES).
Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the fullest extent permitted by law. Nothing in this Agreement excludes liability for death or personal injury caused by negligence, fraud, or other liability that cannot be limited under applicable law.
14. Indemnification
You will defend, indemnify, and hold harmless Licensor and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) Customer Data; (b) your use of the Software in violation of this Agreement or law; (c) your infringement or misappropriation of third-party rights; or (d) disputes among your users or between you and third parties relating to your use of the Software.
15. Term and termination
This Agreement remains in effect while you access or use the Software. Licensor may suspend or terminate access immediately if you materially breach this Agreement, if required by law, or to address security risk. Upon termination, your license ends and you must cease use of the Software. Sections that by their nature should survive (including ownership, confidentiality, disclaimers, limitations of liability, indemnification, and governing law) will survive termination.
Upon written request within thirty (30) days after termination of a paid subscription, and subject to your Customer Agreement, Licensor will make Customer Data available for export in a reasonable format then commonly supported by the Software. After that period, Licensor may delete Customer Data in accordance with its retention practices, except where retention is required by law.
16. Export and government rights
You will comply with all applicable U.S. export control and sanctions laws. You represent that you are not located in, under the control of, or a national or resident of any country or party prohibited under U.S. law from receiving the Software.
If you are a U.S. government end user, the Software is a “commercial item” and “commercial computer software” under applicable FAR and DFARS provisions, licensed only with the rights set forth in this Agreement.
17. Governing law and disputes
This Agreement is governed by the laws of the State of California, without regard to conflict-of-law principles. Subject to any mandatory consumer protections that cannot be waived, the state and federal courts located in Santa Barbara County, California will have exclusive jurisdiction over disputes arising out of this Agreement, and each party consents to personal jurisdiction there. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Before filing a claim, the parties will attempt in good faith to resolve the dispute informally by contacting legal@altheaos.org.
18. Miscellaneous
- This Agreement, together with any Customer Agreement and the Privacy Policy (as applicable to personal information), is the entire agreement between the parties regarding the Software and supersedes prior or contemporaneous agreements on that subject, except that a signed Customer Agreement controls where it conflicts.
- If any provision is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in effect.
- Failure to enforce a provision is not a waiver.
- You may not assign this Agreement without our prior written consent; we may assign it in connection with a merger, acquisition, or sale of assets.
- Notices to Licensor may be sent to the address below and to legal@altheaos.org.
- We may update this Agreement by posting a revised version at this URL and updating the effective date. Material adverse changes for existing paid customers will be communicated as required by a Customer Agreement or applicable law. Continued use after the effective date of a posted update constitutes acceptance to the extent permitted by law.
Current effective date: September 30, 2026.
